Client Work Product

Unless otherwise specified in a separate agreement, upon full payment for services:

• Custom code developed specifically for clients becomes their property
• We retain rights to use general techniques, methodologies, and frameworks
• Third-party components remain subject to their respective licenses

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit harmful code, viruses, or malware
• Engage in unauthorized access to systems or networks
• Harass, abuse, or harm another person or entity
• Send unsolicited communications (spam)
• Interfere with or disrupt our services or servers

6. Payment Terms

For paid services:

• Payment terms will be specified in the service agreement or invoice
• All fees are non-refundable unless otherwise stated
• We reserve the right to suspend services for non-payment
• Late payments may incur additional fees as specified in the agreement
• Prices are subject to change with reasonable notice

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation survives the termination of these Terms.

8. Warranties and Disclaimers

We strive to provide high-quality services. However:

• Services are provided "as is" and "as available"
• We make no warranties regarding uninterrupted or error-free service
• We do not warrant that our services will meet all your requirements
• Any warranty periods for deliverables will be specified in project agreements

9. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the claim
• We are not responsible for any loss of data, profits, or business opportunities

10. Indemnification

You agree to indemnify, defend, and hold harmless ECSP Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate the service relationship:

• With written notice as specified in the service agreement
• Immediately upon material breach by the other party
• Upon mutual written agreement

Upon termination, you must pay for all services rendered and return any confidential information.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ECSP Ltd is incorporated, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiation between the parties
• Mediation, if negotiation fails
• Binding arbitration or litigation as a last resort

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
